Welcome to Apollo Vision Tech. These terms govern the procurement, installation, and software licensing of our Interactive Flat Panels, Kiosks, Digital Signage, and Micro-LED architectures.
By executing a Purchase Order (PO) or accepting a Master Service Agreement (MSA) with Apollo Vision Tech, your enterprise legally agrees to these binding parameters.
01. Introduction & Scope
Apollo Vision Tech ("Apollo", "We", "Us") operates as a premier B2B commercial display manufacturer headquartered in the United States. We reserve the right to amend, update, or refine these Terms and Conditions at our discretion. Continuous engagement with our hardware and CMS (Content Management System) post-update constitutes acceptance of the revised terms.
02. Hardware Ecosystem & Specifications
We engineer and deploy industrial-grade visual infrastructure.
- Specification Integrity: While we ensure exact pixel-pitch, nits (brightness), and computational metrics as quoted, Apollo reserves the right to upgrade internal components (e.g., RAM, base chipsets) to newer generations without notice if the legacy component is phased out, provided performance is equal or superior.
- Custom Fabrications: Kiosk enclosures, custom LED cabinet sizing, and bespoke digital signage requests are non-cancelable and non-refundable once engineering drawings (CAD) have been formally approved by the client.
03. Corporate Orders & Financial Terms
Given the scale of enterprise deployments, our financial frameworks are structured for B2B operations:
- Purchase Orders (PO): A formal, authorized PO is required to initiate manufacturing or allocation for bulk hardware orders.
- Taxes & Duties: Unless explicitly zero-rated, all prices exclude state, local, and federal sales tax. Clients must provide valid Tax Exemption Certificates if applicable prior to invoicing.
- Payment Terms: Standard terms are Net-30 for approved corporate accounts. Custom LED fabrications or orders exceeding $100,000 USD may require a 50% mobilization deposit prior to manufacturing.
- ACH & Wire Transfers: We prefer ACH/Wire for enterprise transactions. Credit card payments may incur a standard processing surcharge.
04. Logistics, Freight & Installation
Heavy commercial displays require specialized handling and structural readiness.
- LTL Freight: Displays exceeding 65 inches and Micro-LED cabinets are shipped via LTL (Less Than Truckload) freight. The client must inspect packaging for external shock or tilt-sensor activation *before* signing the Bill of Lading (BOL).
- Site Readiness (Crucial): For installations handled by Apollo's certified technicians, the client must guarantee structural wall integrity capable of supporting the specified VESA load. Apollo assumes no liability for wall failures.
- Power Requirements: The client is strictly responsible for providing dedicated, surge-protected electrical circuits (e.g., 20A/220V for massive Video Walls) prior to the arrival of the integration team.
05. Apollo OS, CMS Licensing & IP
Purchasing Apollo hardware grants you the physical asset, but software environments are licensed, not sold.
The Apollo OS (embedded Android/Windows environments) and our proprietary Cloud CMS are provided under an End-User License Agreement (EULA). The enterprise client retains 100% ownership of the media/data uploaded to the displays. However, reverse-engineering our interactive touch algorithms, zero-bonding technology, or bypassing CMS security protocols strictly violates our IP rights and terminates all warranties.
06. Limitation of Liability
Apollo Vision Tech engineers for mission-critical reliability; however, technological limitations exist.
- Indirect Damages: Apollo shall not be liable for indirect, incidental, punitive, or consequential damages, including loss of advertising revenue, business interruptions, or data loss due to CMS downtime.
- Third-Party Integrations: We are not responsible for performance degradation caused by third-party software installed by the client onto our OPS modules or Android mainboards.
- Maximum Liability: In any legal event, Apollo Vision Tech's cumulative liability shall not exceed the actual purchase price of the specific hardware unit in dispute.
07. Governing Law & Jurisdiction
These terms and all enterprise agreements are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any disputes arising from these terms will first be addressed via executive-level mediation. Should mediation fail, exclusive jurisdiction and venue for litigation will reside in the state and federal courts located in Delaware.
